Farco ToyCo LLC – Terms of Service

Welcome from Farco ToyCo LLC (“Farco ToyCo,” “we,” “our,” or “us”) to the Farco ToyCo website (“our website”). These Terms of Service (“Terms”) govern your access to and use of our website, online store, social media, design submission platform, and related services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

The Farco Heroes Program allows users to share creations using Farco ToyCo products, showcase user-generated content, vote for new projects, and receive credit for their work. Any content, drawings, designs, ideas, or other creative works you submit (collectively, “Submissions”) will be governed under these Terms.

2. Eligibility and Accounts

To use certain parts of our Services, you may need an account. All accounts must be tied to a bona fide email or social media profile that you own. You agree to provide accurate, complete, and up-to-date information and to maintain the confidentiality of your login credentials.

Minor users (under 18) may only provide Submissions with written parental/legal guardian consent and agreement to these Terms. Participation is not open to residents of sanctioned or legally restricted countries. Compensation and shipping may be delayed or unavailable due to such restrictions.

3. Use of Services

You agree to use our Services only for lawful purposes. You may not damage, disable, or impair the Services or interfere with others’ use. We do not accept Submissions generated by AI tools (e.g., ChatGPT, DALL-E, Midjourney). Attempting to submit AI-generated content may result in rejection.

We may collect, retain, and process personal data in accordance with applicable data protection laws. See our Privacy Policy for details.

4. User Submissions and Intellectual Property

By submitting content through the Farco Heroes Program, you represent that you are the original creator (except for Farco ToyCo IP) and that your Submission does not infringe on others’ rights. If multiple creators are involved, proof and assignment or agreement are required for eligibility.

You grant Farco ToyCo a worldwide, royalty-free, perpetual, sublicensable license to use your Submission for evaluation, development, marketing, or production. Reasonable efforts will be made to credit creators selected for development.

All content on the Site is protected by copyright. You may not copy, download, or distribute content unless expressly authorized. Unauthorized use may result in account termination and legal action.

5. No AI

The Site may not be used to train or develop AI or machine learning systems without written consent. Unauthorized use for AI purposes is prohibited and constitutes a breach of these Terms.

6. Intellectual Property Ownership

All trademarks, logos, designs, and content on our Services are owned by Farco ToyCo LLC. Any Submissions you provide assign all intellectual property rights worldwide to Farco ToyCo. You may use your Submissions for non-commercial purposes only, such as sharing on your website, social media, portfolios, or public events.

7. Farco Heroes Program

Farco ToyCo may, at its discretion, commercialize Submissions. Participants will be informed of timelines and required to provide representations or instructions for validation. Compensation follows the guidelines below:

  1. STEP 1: Upon 1,000,000 likes on Farco ToyCo social media, submit proof of creation and physical/digital representations.
  2. STEP 2: Farco ToyCo conducts a feasibility study within 60 days of Step 1 completion.
  3. STEP 3: You provide personal information for public recognition on Farco ToyCo platforms.
  4. STEP 4: Upon commercial release, you receive:
    • Your name, likeness, and description on the Farco Heroes tab.
    • First $10,000 in sales.
    • 5% of net sales until $250,000 in royalties.

All rights to Submissions remain with Farco ToyCo indefinitely. Selling items related to your Submissions outside the platform is prohibited.

8. Taxes

Reporting and paying taxes on compensation is your responsibility. Farco ToyCo is not responsible for taxes. Applicable withholding taxes may be deducted and paid to authorities.

9. Purchases and Payments

When purchasing products, you authorize payment for applicable amounts. Prices, taxes, and shipping fees may change without notice. All sales are final except as required by law or our return policy.

10. Limitation of Liability

Farco ToyCo is not liable for indirect, incidental, special, or consequential damages. Total liability shall not exceed amounts paid for the product or service.

11. Disclaimer of All Warranties

Services and products are provided “as is” without warranties of any kind, express or implied.

12. Termination

Farco ToyCo may suspend or terminate your account at any time if you violate these Terms.

13. Governing Law and Jurisdiction

These Terms are governed by New York law. Disputes shall be brought exclusively in state or federal courts in Nassau County, New York.

14. Changes to Terms

Farco ToyCo may update these Terms at any time. Continued use of Services after updates constitutes acceptance.
